Partner – Dispute Resolution
François represents listed and private companies in commercial litigation, post-M&A disputes, shareholder conflicts, and governance-related matters before courts and arbitral tribunals. He is involved in a wide range of domestic and international disputes. He also has extensive experience in criminal litigation, civil law (including inheritance and real estate), enforcement proceedings, and securities law. He regularly advises on litigation strategy, procedural matters, and private international law.
Guillaume Roche
Partner – Mergers & Acquisitions
Guillaume represents French and foreign companies, financial institutions and institutional investors in connection with their (public or private) mergers and acquisitions, investments, strategic partnerships and joint venture. He has extensive experience in cross-border transactions.
Marie-Amélie Gros
Partner – Real Estate
Marie-Amélie advises French and international investment funds, institutional investors and developers in connection with real estate transactions. She has also developed a significant expertise in commercial leases, where she advises both real estate companies and users.
Jean-Yves Charriau

Jean-Yves is a highly regarded tax specialist, particularly recognized for his role in complex domestic and cross-border transactions. He has deep expertise in the real estate, hospitality and healthcare sectors and advises mainly listed companies, private equity funds, and institutional investors — both French and international — including sovereign wealth funds and pension funds.

Real Estate / Tax / M&A
Represented ARDIAN, a leading French P.E. firm, in connection with the formation of a joint venture with KERING (a CAC 40-listed, worldwide luxury leader), alongside French and international investors, to acquire and manage three strategic assets in France.
AXA IM
Real estate
Advising AXA IM in connection with the takeover of companies owning a 35,000 sq.m real estate complex (Kennedy) in the 16th arrondissement of Paris, with a view to restructuring it.
B&B Hotels
M&A / Tax / Real Estate
Represented B&B Hotels in connection with the acquisition of a portfolio of 22 companies operating hotel businesses from Grape Hospitality France, in partnership with Swiss Life AM, which concomitantly acquired the companies owning the corresponding buildings.
BNP PARIBAS
M&A
Represented BNPP PARIBAS, the French leading, CAC 40-listed company, in connection with the simultaneous sale of (i) its majority ownership interest in Banque Internationale pour le Commerce et l’Industrie du Sénégal to SUNU, and (ii) together with PROPARCO (a state-owned financing sponsor in MEA, Asia, Latin America), their majority ownership interests in Banque Internationale pour le Commerce et l’Industrie de la Côte d’Ivoire (listed on the Regional Stock Exchange of West Africa), to a consortium including state-owned entities.
CHATEAU MIRAVAL
Dispute Resolution / M&A
Representing Château Miraval, french subsidiary that holds Brad Pitt / Angelina Jolie’s vineyard in France in connection with its multiple and cross-border litigations since Angelina Jolie sold Nouvel, her holding company, to Stoli group, owned by the Russian individual Yuri Sheffler. Litigations are pending in France, Luxembourg and the USA.

Represented CLARIANE, a leading French listed, hospitality company in connection with the restructuring of the ownership of its real estate assets and its long-term partnerships with institutional investors to develop and operate retirement and nursing homes in Europe.
HINES
Real estate
Representing Hines Group in connection with the acquisition of a 130,000 sq.m logistics portfolio from Segro.
NHIS
Dispute Resolution
Representing NHIS and various South Korean banks in connection with a litigation regarding the validity of a mortgage on land asset in France / Monaco, and its subsequent judicial sale. This land represents one of the last major development projects on the French-Monegasque border. The dispute is part of high-stakes litigation involving the Prince of Monaco and members of his administration.

Represented ORANGE, the French leading, CAC 40-listed Telco company, in connection with the set-up of a joint venture with CAPGEMINI, a French CAC 40-listed, IT services and consulting company, for the development and operation of a sovereign cloud.
SANOFI
M&A / Tax
Represented SANOFI, a global healthcare leader and CAC 40-listed company, in connection with the worldwide divestment of a portfolio of medicines of significant therapeutic interest to the Italian group FIDIA FARMACEUTICI.

Dispute Resolution
Co-representing the Syndicat des éditeurs de la presse magazine in connection with its litigation against Google regarding the implementation in France of EU Directive 2019 on copyright and related rights in the Digital Single Market (“DSM”).
UNIBEL
Dispute resolution / M&A
Represented the Dufort Family, who holds one-third of Groupe Bel (listed on Euronext Paris), in connection with the settlement of their dispute and their new shareholder agreement with the other controlling shareholders of Groupe Bel.
UNIBAIL – RODAMCO – WESTFIELD
M&A / Real Estate / Tax
Represented Unibail-Rodamco-Westfield, the largest European commercial real estate company and a CAC 40-listed REIT, in connection with:
- The structuring of a strategic partnership with Crédit Agricole Assurances and La Française for a portfolio of five shopping centres (value over €2 Bn) (Tax),
- The sale of the company owning the 13,085 sq.m office portion of Les Ateliers Gaîté to Swiss Life AM and Norges Bank Investment Management.
